Our litigation attorneys handle jury and non-jury trials in state and federal courts in Tennessee and the Mid-South area, and actively practice before state and federal appellate courts. Our litigation practice includes commercial and contract matters, employee benefits and employment cases, premises liability, securities, insurance, negligence, personal injury, workers' compensation, health care, tax, probate, administrative disputes, real property, construction, and intellectual property.
Increasingly, our clients are turning to alternative forms of resolving disputes such as mediation and arbitration. Often, disputes can be resolved quickly and efficiently using these alternatives, resulting in significant cost savings. General Corporate, Securities & Finance
The firm has a broad-based general corporate, securities and finance practice, with experience in mergers and acquisitions, joint ventures, limited and general partnerships, limited liability companies, corporate restructuring, private offerings of debt and equity securities, and secured, revolving and other loan transactions.
Real Estate
We represent property owners, developers, lessors, institutional lenders and title companies in a wide variety of real estate closings, transactions and litigation involving real estate. Our attorneys have experience in all facets of commercial and residential real estate, including the purchase, sale, development, leasing and financing of homes, office and apartment buildings, shopping centers, and agri-business interests. We also represent contractors and property owners in mechanics' and materialmen's disputes.
Health Care
We represent physicians, hospitals and managed care organizations on a local and regional basis. We regularly render advice regarding governmental regulations, licensing, antitrust and fraud and abuse issues, and other legal matters unique to the health care industry.
Banking
We represent a locally-based national bank in certain transactions and render advice on matters including regulatory compliance, secured lending issues, obligations of directors and officers and litigation matters.
Employment
We represent both employers and individuals in litigation involving federal and state anti-discrimination laws, including laws such as Title VII of the Civil Rights Act of 1964 (which prohibits race, color, religious, national origin, and sex discrimination, including sexual harassment), the Age Discrimination in Employment Act, the Americans with Disabilities Act, the Fair Labor Standards Act, the Family and Medical Leave Act, and the Tennessee Human Rights Act. We also represent companies and individuals in connection with wrongful termination claims, whistleblower claims, breach of employment contract claims, covenants not to compete, ERISA, workers' compensation benefits, and other employment-related issues; we have experience representing unionized employers in arbitration proceedings.
We also work with clients to avoid employment-related problems, preparing employment contracts, non-compete agreements, agreements involving intellectual property rights, and separation and severance agreements. We also advise companies and individuals about such documents, and counsel them about all types of workplace rights and responsibilities.
Wills, Estate Planning & Probate
Our firm has substantial knowledge and skill in advising clients of all degrees of wealth on how to make lifetime and testamentary dispositions of property through trusts and wills in accordance with their desires, and on how to reduce estate taxes and probate costs. We also have significant experience in guiding families through the often complicated estate administration process after the loss of a loved one.
Taxation
Two members of our firm have advanced tax degrees. We have broad experience in federal and state taxation including individual, corporate, partnership, estate and gift tax matters, as well as in tax litigation in U.S. District Court and U.S. Tax Court.
Professional Liability
We are experienced in professional liability claims involving accountants, health care professionals, and corporate directors and officers, as well as fidelity bond claims.

Professional Fees
Our professional services generally are billed based on hourly rates reflecting the experience of individual lawyers. Other fee arrangements, such as a stated fee for particular services, contingency or task-based billing, may be appropriate in other circumstances. We are happy to discuss any questions relating to our charges. All fee agreements will be fully documented in writing.
